(1) Vendor needs to provide legal services to the government authority located in Las Vegas, NV. • Advice, consultation, representation, negotiation and preparation of employment contract with the Superintendent, including, if necessary, possible litigation of the terms of the existing contract, and representation of the Board in all matters regarding the superintendent’s performance under the contract.• Assistance, consultation and guidance regarding preparation of Board agendas and conduct of work sessions, special and regular meetings, including Roberts Rules of Order, Open Meeting laws, municipal law, and proper governance procedures, as well as legal guidance in respect of these areas of law.• Advice and consultation, in the Board’s duty in approving collective bargaining negotiations with all bargaining units, including contract analysis• Consultation and advice related to ethical conduct of the Trustees as public elected officials, including conflict of interest, ethics complaints, election and campaign law• Consultation and legal advice regarding the general and specific powers of the school board, including fiduciary duties of individual trustees and balanced governance• Advice and consultation related to constitutional issues of separation of Church and State, use of district facilities by outside groups, First Amendment free speech matters covering Trustees, staff and students
