(1) Vendor needs to provide legal services to the government authority located in North Las Vegas, NV.
- Advise on legal issues related to the board of regents policies and procedures such as, but not limited to, the open meeting and public records law.
- Attend foundation board of trustee's board and committee meetings. The foundation meets quarterly (four meetings per year). Three meetings are approximately 1.5 hours and one quarterly meeting is the annual board meeting or retreat and is four to six hours in duration. In addition, the Foundation holds one to two committee meetings monthly (estimated 30 minutes - 1 hour).
- Review drafts of meeting agendas and meeting minutes to comply with the open meeting law.
- Review, advise and revise on foundation personnel, fiscal and other policies and procedures, including the foundation bylaws.
- Review, advise and revise drafts of contracts, memorandum of understanding, trusts and scholarship and endowed scholarship agreements.
- Prepare and conduct essential training for foundation related to open meeting law, public records law and other areas related to donations and scholarships.
- Advise on legal issues related to tax‐exempt status.
- Coordinate and collaborate with office of general counsel when necessary.
- Advise on responses to subpoenas, court orders and requests for information from third parties.
- Defend lawsuits, administrative claims or other legal claims.
- Review contracts and other legal documents.
